Terms of Service

Last updated: June 19, 2026

These Terms of Service ("Terms") govern your access to and use of the website at ltxmgmt.com (the "Site") and any consulting, marketing, store-building, or related services (the "Services") offered by LTX MGMT, LLC ("LTX," "we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Who we are

LTX MGMT, LLC is an ecommerce and social-commerce consultancy. We build, scale, and operate online stores and marketing campaigns for our own brands and for clients across platforms including TikTok Shop, Instagram, and Meta.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

3. Services & engagements

The specific scope, deliverables, fees, and timelines for any client engagement are defined in a separate written agreement, proposal, or statement of work between you and LTX. Where those documents conflict with these Terms, the signed engagement documents control for that engagement. Nothing on the Site constitutes a binding offer to provide Services until a separate agreement is executed.

4. No guarantee of results

The performance figures, case studies, and results referenced on this Site (including, for example, revenue, GMV, ad views, and CPM metrics) describe past outcomes for specific brands under specific conditions. Marketing and ecommerce results depend on many factors outside our control, including your product, pricing, market, budget, and platform policies. Past performance is not a guarantee or promise of future results, and we do not warrant any particular outcome from the Services.

5. Client responsibilities

By engaging our Services, you agree to:

6. Third-party platforms

The Services often involve third-party platforms and tools that have their own terms and policies. We are not responsible for those platforms, their availability, their policy changes, or any action they take regarding your accounts. Your relationship with each platform is governed by that platform's own terms.

7. Intellectual property

The Site and its content, including text, design, graphics, and logos, are owned by LTX MGMT, LLC or its licensors and are protected by applicable intellectual-property laws. You may not copy, reproduce, or distribute Site content without our prior written permission. Ownership of deliverables produced during a client engagement is governed by the applicable engagement agreement.

8. Acceptable use

You agree not to use the Site to:

9. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, LTX MGMT, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Site or Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services giving rise to the claim in the three months preceding the event.

11. Indemnification

You agree to indemnify and hold harmless LTX MGMT, LLC from any claims, damages, or expenses arising out of your breach of these Terms, your content or materials, or your violation of any law or third-party right.

12. Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted to this page with an updated date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts located there.
